These Terms of Service ("Terms") govern your use of services provided by TheHackitect Solutions Limited ("Company", "we", "our"). By engaging our services, you agree to these Terms.

1. Scope of Services

We provide software development, cloud infrastructure, cybersecurity, IT consulting, and digital transformation services as agreed upon in individual project contracts ("Statements of Work" or SOWs). Each SOW will detail the specific deliverables, timeline, and pricing.

2. Engagement Process

1. Discovery: Free initial consultation to understand your requirements
2. Proposal: Detailed proposal with scope, timeline, and pricing
3. Agreement: SOW signed by both parties
4. Development: Iterative development with regular updates
5. Delivery: Final delivery, testing, and sign-off
6. Support: Post-delivery support as per agreement

3. Intellectual Property

Upon full payment, clients receive full ownership of custom-developed code and assets unless otherwise specified in the project agreement. Pre-existing frameworks, libraries, and tools used in development remain the property of their respective owners.

4. Payment Terms

Standard terms: 50% deposit upon agreement, 50% upon completion. For larger projects, milestone-based payments may be arranged. All prices are in Nigerian Naira (NGN) unless otherwise specified. Invoices are due within 14 days of issuance.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the project engagement. This obligation survives termination of the agreement.

6. Warranties

We warrant that all deliverables will be free from material defects for 30 days from delivery. During this period, we will fix any bugs or issues at no additional charge.

7. Limitation of Liability

Our total liability shall not exceed the amount paid for the specific service in question. We are not liable for indirect, consequential, or incidental damages.

8. Termination

Either party may terminate the engagement with 14 days written notice. In case of termination, the client pays for all work completed to date.

9. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through arbitration in Lagos, Nigeria.
